Terms of Service

By creating an account or using BriefToClose, you confirm that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

BriefToClose provides an AI-powered proposal generation tool that creates consulting proposals based on user-provided client briefs. The Service is provided "as is" and may be modified, suspended, or discontinued at any time.

We reserve the right to add, change, or remove features of the Service at our discretion. We will endeavor to provide reasonable notice of significant changes.

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must notify us immediately at support@brieftoclose.com if you suspect unauthorized use of your account. We are not liable for any loss or damage arising from unauthorized account access caused by your failure to safeguard your credentials.

Free Plan: Provides limited access to the Service at no charge, subject to usage limits stated on our pricing page.

Paid Plans: Billed monthly or annually in advance. Prices are stated in USD and are subject to change with 30 days' notice.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a billing period.

Failed Payments: If payment fails, we may suspend your access to paid features until payment is resolved.

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Generate proposals that misrepresent your qualifications or credentials
• Distribute, resell, or sublicense access to the Service without permission
• Attempt to reverse-engineer, decompile, or extract our AI models
• Engage in automated scraping or bulk data extraction
• Upload malicious code or interfere with the Service's operation
• Circumvent any rate limits or usage restrictions

Our IP: BriefToClose, including its software, design, trademarks, and underlying AI models, is owned by BriefToClose, Inc. Nothing in these Terms transfers ownership of our intellectual property to you.

Your Content: You retain ownership of the client briefs you input and the proposals generated for you. By using the Service, you grant us a limited license to process your inputs solely for the purpose of delivering the Service.

Generated Proposals: Proposals generated by the Service are provided to you for your use. You are responsible for reviewing and verifying all generated content before use.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that proposals generated by the Service are accurate, complete, suitable for any particular purpose, or free from errors. You are solely responsible for reviewing and relying on generated content.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIEFTOCLOSE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless BriefToClose, Inc. and its affiliates from any claims, damages, losses, or costs (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

We may terminate or suspend your account at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately.

You may delete your account at any time through your account settings or by contacting support@brieftoclose.com.

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Francisco County, California.

We may update these Terms at any time. We will provide at least 14 days' notice of material changes via email or through the Service. Continued use after the effective date constitutes acceptance of the updated Terms.
